These terms govern your use of CODOS. Please read them carefully before using our platform.

Moroccan Law

These Terms are governed by Moroccan law. Disputes resolved in Moroccan courts.

1. Acceptance of Terms

By accessing or using CODOS ("CODOS", "we", "us", or "our") at https://codos.ma, you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations.

If you are using CODOS on behalf of a company or legal entity ("Merchant"), you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to the Merchant and its authorized users.

Read Before Proceeding

If you do not agree with any part of these Terms, you must not use our service. Continued use of the platform after any updates to these Terms constitutes acceptance of the revised Terms.

2. Service Description

CODOS is a Software-as-a-Service (SaaS) platform that helps Moroccan e-commerce sellers automate their Cash-on-Delivery (COD) operations. Our platform provides:

  • Automated WhatsApp order confirmations and customer communication via the Meta WhatsApp Business API
  • Integration with Moroccan courier services for shipping label generation and tracking
  • Order management dashboard with real-time status updates
  • Analytics and reporting on delivery rates, confirmation rates, and revenue
  • Call center management tools for manual order confirmation
  • Shopify and WooCommerce store integrations
  • Multi-user team management with role-based access control

CODOS acts as a technology platform. We do not process payments, own the underlying goods sold, or guarantee delivery outcomes.

3. Eligibility

To use CODOS, you must:

  • Be at least 18 years of age
  • Be a legally registered business or individual operating an e-commerce store
  • Operate primarily within Morocco or sell to Moroccan customers
  • Have a valid Meta Business Account and approved WhatsApp Business Account (for WhatsApp features)
  • Not be barred from using our services under applicable law

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion if eligibility requirements are not met.

4. Accounts & Registration

When you create an account on CODOS, you agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and accept all risks of unauthorized account access
  • Immediately notify us at security@codos.ma of any unauthorized use of your account
  • Be responsible for all activity occurring under your account
  • Not share account credentials with unauthorized parties

Each Merchant account may have multiple Users with defined roles (Owner, Admin, Call Center Agent, Viewer). The Owner is responsible for all actions taken by Users under their account.

Account Security

We strongly recommend enabling Two-Factor Authentication (TOTP) in your security settings. CODOS will never ask for your password via email, WhatsApp, or phone.

5. Subscription & Billing

CODOS offers the following subscription plans, billed in Moroccan Dirhams (MAD):

  • Subscriptions are billed monthly or annually in advance
  • Plan limits reset at the beginning of each billing cycle
  • Upgrades take effect immediately; downgrades take effect at the next billing cycle
  • We reserve the right to change pricing with 30 days notice to existing subscribers
  • Refunds are not provided for partial months unless required by Moroccan consumer protection law
  • Overdue accounts may be suspended after 7 days; data is retained for 30 days post-suspension

6. Acceptable Use

You agree to use CODOS only for lawful purposes and in accordance with these Terms. You must not:

  • Send unsolicited commercial messages (spam) to customers who have not opted in
  • Use the platform for fraudulent, deceptive, or misleading communications
  • Sell or promote illegal goods or services (drugs, counterfeit goods, weapons, etc.)
  • Attempt to reverse engineer, decompile, or extract source code from our platform
  • Use automated scraping, crawling, or data extraction tools against our service
  • Attempt to gain unauthorized access to other accounts or our infrastructure
  • Impersonate another person, business, or brand
  • Violate any applicable Moroccan or international law
  • Resell or white-label {COMPANY_NAME} services without written authorization
  • Use the platform to transmit malware, viruses, or other harmful code

Violations of this section may result in immediate account suspension without refund and may be reported to relevant authorities.

7. WhatsApp & Meta Platform

Meta Platform Policy Compliance

CODOS is a Meta Business Partner that uses the WhatsApp Business API. All WhatsApp messaging through our platform is subject to Meta's Platform Policies, WhatsApp Business Policy, and our own messaging guidelines.

By using CODOS's WhatsApp features, you explicitly agree to:

  • Obtain valid, explicit opt-in consent from each customer before sending them WhatsApp messages through our platform
  • Only use WhatsApp templates pre-approved by Meta for your specific use case
  • Only send messages that are relevant to the customer's order (confirmation, shipping update, delivery notification)
  • Promptly honor opt-out requests — customers who reply "STOP", "Unsubscribe", or equivalent must not receive further messages
  • Not use WhatsApp to send promotional content, advertisements, or bulk marketing messages through {COMPANY_NAME}
  • Maintain accurate and up-to-date customer contact information
  • Comply with Meta's WhatsApp Business Policy
  • Comply with Meta's Platform Terms

Prohibited WhatsApp uses through CODOS:

  • Sending messages to people who have not consented to receive communications from your business
  • Bulk promotional or marketing campaigns not tied to a specific order transaction
  • Content that violates WhatsApp's Prohibited Content Policy (adult content, regulated goods, etc.)
  • Attempting to circumvent Meta's messaging quality ratings or opt-out mechanisms
  • Using {COMPANY_NAME} to operate a WhatsApp messaging service for third parties

CODOS may suspend WhatsApp features for accounts with poor message quality ratings, high block rates, or violations of Meta's policies. We report significant violations to Meta as required by our partnership agreement.

8. Courier Integrations

CODOS integrates with third-party Moroccan courier services including Ozonexpress, Kargo, Amana, Oliv Raison, SendIt, and others. Regarding courier integrations:

  • {COMPANY_NAME} acts as a technology intermediary — we transmit shipment data on your behalf but are not a party to your courier service agreements
  • Shipping rates, delivery timelines, and service quality are solely governed by your agreement with each courier
  • You are responsible for ensuring the accuracy of shipment data (recipient address, declared value, package dimensions)
  • We are not liable for failed deliveries, lost packages, courier delays, or damage in transit
  • Courier API credentials you connect to {COMPANY_NAME} must be valid and maintained by you

9. Data Ownership

Your data belongs to you. You retain full ownership of your Merchant data, including order data, customer contact information, and business analytics.

  • You grant {COMPANY_NAME} a limited, non-exclusive license to process your data solely to provide the service
  • We do not sell your data or your customers' data to third parties
  • You may export your data at any time via the Account Settings → Export Data function
  • Upon account deletion, your data is anonymized within 30 days (see our Privacy Policy for details)
  • Aggregated, anonymized data may be used to improve our platform and develop benchmarks

10. Intellectual Property

CODOS (EGROW) owns all rights, title, and interest in and to CODOS, including the software, interface design, trademarks, logos, and all associated intellectual property. Nothing in these Terms grants you ownership of our platform.

You retain all intellectual property rights in content you upload to CODOS (product descriptions, images, templates). By submitting content, you grant us a license to display and process it solely for the purpose of providing the service.

11. Disclaimers

Important Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by Moroccan law, CODOS disclaims all warranties, including:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Guarantees of uninterrupted, secure, or error-free service
  • Warranties that any information or results obtained through the service will be accurate or reliable
  • Warranties regarding third-party services including Meta/WhatsApp, courier APIs, and payment processors

Delivery outcome rates, message open rates, and other metrics shown on our platform are historical analytics — they are not guarantees of future performance.

12. Limitation of Liability

To the fullest extent permitted by law, CODOS (EGROW) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Failed or delayed order confirmations
  • Courier delivery failures or returns
  • WhatsApp message delivery failures or account restrictions imposed by Meta
  • Unauthorized access to your account due to your failure to maintain security

Our total aggregate liability to you for any claims arising from use of the service shall not exceed the total amount you paid to CODOS in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless CODOS (EGROW), its directors, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of Meta Platform Policies or WhatsApp Business Policy
  • Customer complaints arising from your business operations
  • Content you submit through or generate using {COMPANY_NAME}
  • Unauthorized use of another party's account by someone under your control

14. Termination

Termination by You: You may cancel your account at any time via Account Settings → Delete Account. Upon cancellation:

  • Your subscription ends at the current billing period's close
  • Your data is retained for 30 days after which it is permanently deleted
  • You may export your data before deletion

Termination by Us: We may suspend or terminate your account immediately and without notice if:

  • You materially breach these Terms or our Acceptable Use Policy
  • Your account is used for illegal activity or fraud
  • You violate Meta Platform Policies causing risk to our Business Partner status
  • Your account is subject to a court order, regulatory requirement, or law enforcement request
  • Continued operation of your account poses a security risk to our platform or other users

Upon termination for cause, no refund is owed for any prepaid subscription period.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of CODOS shall be subject to the exclusive jurisdiction of the competent courts of Morocco. Before initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

16. Changes to Terms

We may update these Terms from time to time. When we do, we will:

  • Post the updated Terms at https://codos.ma/terms
  • Update the "Last Updated" date at the top of this page
  • Send an email notification to registered account owners at least 14 days before material changes take effect
  • For significant changes, display an in-app banner requiring acknowledgment

Your continued use of CODOS after the effective date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the service before the effective date.
